These Terms of Use (“Terms”) constitute a legally binding agreement between you and Happiminds Solutions, operated by Neorealm Solutions (OPC) Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at No. B817, 5th Cross, 2nd Main, Jalahalli, Bangalore, India – 560013, operating under the brand name “Happiminds” (hereinafter referred to as the “Company”, “we”, “our”, or “us”).
These Terms govern your access to and use of the Happiminds website, mobile applications, assessments, dashboards, content, learning modules, and all related services (collectively referred to as the “Platform”).
By accessing, browsing, registering, or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Platform immediately.
The Platform is intended for use by parents or lawful guardians enrolling children between the ages of 6 and 16 years. Individuals under the age of eighteen (18) years may access the Platform only through a verified parent or guardian account.
By creating an account or enrolling a child on the Platform, you represent and warrant that you are at least eighteen (18) years of age, that you are the lawful parent or legal guardian of the enrolled child, and that all information provided by you is accurate, current, and complete.
The Company reserves the right to suspend or terminate accounts that fail to meet eligibility requirements or provide false or misleading information.
Happiminds provides cognitive skill development programs, structured assessments, adaptive learning workouts, gamified progress systems, performance analytics, digital reports, and educational enrichment services designed to improve thinking and learning abilities.
The Platform is intended solely for educational enrichment purposes. It does not constitute a formal educational institution, is not affiliated with any statutory education board unless expressly stated, does not grant degrees or recognised academic certifications, and does not provide clinical, psychological, medical, or counselling services.
The Company makes no representation that use of the Platform will guarantee academic rank improvement, examination success, or specific measurable outcomes.
Access to certain features of the Platform requires account registration. When creating an account, you agree to provide accurate, complete, and current information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify the Company immediately of any unauthorised access, suspected breach, or misuse of your account.
The Company reserves the right to suspend or terminate accounts that provide false information, violate these Terms, engage in misuse, compromise security, or participate in fraudulent activity.
Access to certain services and features of the Platform may require payment of subscription fees. All applicable fees shall be displayed on the Platform and may be inclusive or exclusive of applicable taxes as specified.
Fees are subject to revision at the discretion of the Company, and such revisions shall take effect upon prior notice on the Platform or via email communication.
Payments are processed through secure third-party payment gateways compliant with Reserve Bank of India (RBI) regulations. The Company does not store full debit or credit card details on its servers.
Failure to make timely payment may result in suspension, restriction, or termination of access to paid services.
Users may cancel subscriptions in accordance with the procedures specified on the Platform or by contacting customer support.
Refund eligibility, where applicable, shall be governed by the Refund Policy published separately on the Platform. Unless explicitly stated in writing, fees once paid are non-refundable.
Cancellation of subscription does not automatically entitle the user to a refund unless expressly permitted under the Refund Policy.
By using the Platform, you agree that you shall not misuse, interfere with, disrupt, or attempt to gain unauthorised access to the Platform, its servers, databases, or associated networks.
You agree not to reverse engineer, decompile, copy, reproduce, modify, distribute, sell, license, or commercially exploit any portion of the Platform without prior written consent from the Company.
You shall not upload, transmit, or distribute any content that is unlawful, harmful, defamatory, abusive, threatening, obscene, or otherwise objectionable.
You agree to comply with all applicable laws while using the Platform.
Violation of these obligations may result in immediate suspension or termination of access and may expose the user to civil or criminal liability.
All content available on the Platform, including assessments, questions, learning modules, workouts, algorithms, reports, videos, graphics, branding, software, design elements, and proprietary methodologies, is the exclusive intellectual property of the Company unless otherwise stated.
No part of the Platform may be reproduced, distributed, transmitted, published, displayed, modified, or commercially exploited without prior written permission from the Company.
Unauthorised use of intellectual property may result in civil proceedings and criminal prosecution under applicable Indian laws.
If you submit feedback, suggestions, testimonials, or other content to the Company, you grant the Company a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, publish, and display such content for business, marketing, or service improvement purposes.
You represent that any content submitted by you does not infringe the rights of any third party.
Parents are responsible for supervising their child’s use of the Platform and ensuring appropriate behaviour.
The Company does not permit bullying, harassment, abusive conduct, inappropriate content sharing, or misuse of community features. Any user found engaging in prohibited conduct may have their access suspended or permanently terminated.
The Company reserves the right to remove any content or user that violates child safety standards or community guidelines.
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.
The Company does not guarantee uninterrupted, error-free, or secure access to the Platform. Temporary suspension may occur due to maintenance, system upgrades, technical issues, cyber incidents, or force majeure events.
The Company does not provide psychological diagnosis, medical advice, or therapeutic services. The Platform should not be used as a substitute for professional educational, medical, or counselling services.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from use of the Platform.
The Company shall not be responsible for loss of academic performance, user negligence leading to account compromise, data loss beyond reasonable control, or third-party actions.
In any event, total liability shall not exceed the subscription fees paid by the user in the three (3) months preceding the claim.
You agree to indemnify and hold harmless the Company, its directors, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising out of your violation of these Terms, misuse of the Platform, or breach of applicable laws.
Your use of the Platform is subject to the Company’s Privacy Policy. By using the Platform, you consent to the collection and processing of data as described in the Privacy Policy.
The Company may suspend or terminate your access to the Platform at its discretion for breach of these Terms, non-payment, fraudulent activity, legal requirements, or misuse of services.
Termination shall not affect any accrued rights or outstanding payment obligations.
The Company shall not be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, government actions, internet disruptions, cyber attacks, pandemics, or other force majeure events.
The Company reserves the right to modify these Terms at any time. Updates shall be communicated via website notification, email communication, or platform announcements. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.
